Payment, Cancellation & Return Policies

WHO WE ARE

These policies are issued by Uprise Hot Yoga, LLC ("Uprise," "we," "us," or "our"), operating Uprise Hot Yoga and Fitness and Uprise Community Fitness at 21 Main Street, Freeport, Maine, and any additional location identified at purchase.

1. Scope and contract order

These policies apply to memberships, class packs, drop-ins, workshops, events, teacher trainings, retail purchases, and other services sold by Uprise. They are incorporated into Uprise's Terms & Conditions. The price, term, billing date, and product-specific disclosures shown at checkout or on an order confirmation are part of the agreement.

If documents conflict: (a) nonwaivable law controls; (b) the Liability Waiver controls assumption of risk and release of liability; (c) these policies control payment, cancellation, credits, and returns; and (d) the Terms & Conditions control other matters. A product-specific written offer controls only the commercial term it expressly changes.

2. Payment authorization

By purchasing, you authorize Uprise and its payment processor to charge the payment method you provide for the stated purchase price, taxes if applicable, and any recurring charges to which you separately and affirmatively consent. You represent that you are authorized to use the payment method and that the billing information is accurate.

Before enrollment in an automatically renewing membership, Uprise will clearly disclose the amount and frequency of charges, the initial commitment, renewal terms, cancellation methods, and refund treatment. Automatic renewal requires your affirmative consent, such as a separate checkbox or electronic signature.

4. Auto-renew memberships

4.1 Initial 12-week commitment

Unless the checkout disclosure states otherwise, Uprise's 4-Class, 8-Class, 12-Class, 20-Class, and Unlimited auto-renew memberships have an initial minimum commitment of 12 weeks beginning on the purchase date. The stated membership fee is charged every 4 weeks during that initial term. A cancellation request submitted during the initial term stops renewal after the initial term but does not erase unpaid charges due through the end of the 12-week commitment, except as stated in Section 6 or required by law.

4.2 Renewal after the initial term

After the 12-week initial commitment, the membership automatically renews for successive 4-week billing periods at the then-disclosed rate until canceled. Each renewal provides access for the corresponding paid period. Memberships do not renew for a term of 12 months or more unless an offer expressly says so.

4.3 Courtesy and legally required notices

Uprise may send courtesy billing reminders. Uprise will provide any renewal, price-change, or other notice required by applicable law. A courtesy reminder is not a substitute for the clear disclosures presented at enrollment.

5. How to cancel an auto-renew membership

You may submit a cancellation request by any of the following available methods:

·    Same-method cancellation: using the same method and in the same manner by which you enrolled. If you enrolled through hotyogamaine.com or the Walla app, an online or in-app cancellation method will be made available.

·    Email: support@hotyogamaine.com.

·    In person: a written request delivered to the front desk during staffed hours.

Uprise does not require a phone call to cancel. A cancellation request is effective when submitted through an available cancellation method, as shown by the electronic timestamp or Uprise's receipt of a written request. Uprise will send or display confirmation within a reasonable time. If a technical problem prevents use of the designated method, Uprise will honor the date of the member's first documented timely attempt.

A request submitted before Uprise initiates the next scheduled renewal charge stops that charge and ends access at the close of the current paid period. If the next charge was already initiated before the request was submitted, the request stops the following renewal and access continues through the period already paid. Uprise will refund any renewal charge processed after an effective cancellation or otherwise made without authorization. During an initial 12-week commitment, a cancellation request stops post-term renewal but does not excuse installments already promised for the initial term, except under Section 6 or as required by law.

Canceling a reservation, deleting an app, removing a payment card, stopping attendance, or telling an instructor is not a membership cancellation unless the request is completed through an approved cancellation method.

6. Early cancellation for relocation or medical inability

During the initial 12-week commitment, Uprise will allow early cancellation without an early-termination fee when:

·    the member permanently moves outside the reasonably serviceable area of Uprise and provides reasonable proof of the new address; or

·    a medical condition prevents the member from participating for the remainder of the initial term and the member provides documentation reasonably sufficient to confirm inability to participate. A diagnosis is not required unless reasonably necessary to evaluate the request.

The cancellation will be effective on the date Uprise approves the request or another date required by law. Charges properly incurred before the effective date are not refundable unless required by law. Uprise may offer a reasonable freeze instead, but a freeze will not replace a cancellation right the member is legally entitled to exercise.

7. Price changes

Uprise may change the price of a renewing membership prospectively. Uprise will provide at least 30 days' advance written notice before the new rate takes effect and will clearly state the new amount, effective date, and cancellation methods. A member may cancel before the new rate is charged using Section 5. Uprise will not charge the increased recurring price unless it has provided all legally required disclosures and obtained any consent required by applicable law.

8. Failed or disputed payments

If a payment fails, Uprise may retry the authorized payment method, request updated information, suspend access, or cancel the membership after reasonable notice. Suspension does not increase the amount owed or extend the initial term unless the member agrees in writing. Uprise will not assess a fee unless the amount and triggering event were disclosed before the fee was incurred and the fee is lawful.

If you believe a charge is incorrect, contact support@hotyogamaine.com promptly so Uprise can investigate. Nothing in these policies limits a lawful billing dispute, card-network right, or consumer-protection remedy. A chargeback does not, by itself, resolve whether an undisputed contractual balance remains due.

9. Class packs and drop-ins

·    Expiration. The exact expiration date shown before purchase and in the purchaser's account controls. Unless the product description states otherwise, class packs expire 6 or 9 months after purchase and drop-ins expire 30 days after purchase.

·    Refunds. Class packs and drop-ins are nonrefundable after purchase except when Uprise cancels the purchased service and does not provide a reasonable substitute, or when a refund is required by law.

·    Transfers. Before expiration, an unused class pack may be transferred to another person with Uprise's written approval. Cash value is not transferred or refunded.

·    Extensions. Expiration dates are not extended automatically. Submit any written extension request before expiration. Approval is discretionary unless an extension is required by law or a written product term.

10. Reservations, late cancellations, and arrival

·    Cancel a class reservation at least 12 hours before the scheduled start to have the class credit returned to the account.

·    A cancellation made fewer than 12 hours before class, or a no-show, does not receive a class credit.

·    For Unlimited members, a late cancellation is subject to a $10 fee and a no-show is subject to a $15 fee.

·    A fee-waiver request should be emailed to support@hotyogamaine.com as soon as practicable. Uprise may waive a fee in its reasonable discretion and will honor any waiver required by law.

·    Arrive before class. Doors may lock at the scheduled start time for safety and class integrity. Late arrival does not create a right to a refund or credit.

·    Confirm the location before traveling. The Freeport studio is at 21 Main Street, Freeport, Maine—not South Freeport.

10.1 If Uprise cancels or materially changes a class

If Uprise cancels a class, the class credit will be returned. If the purchase was a single-use drop-in and no reasonable substitute is available, the purchaser may request a refund to the original payment method. A substitute instructor, reasonable room change, or nonmaterial schedule adjustment is not a cancellation.

11. Workshops, events, and teacher training

Workshop and event deposits and fees are nonrefundable unless the written event description states otherwise. If Uprise cancels an event, Uprise will offer a transfer, account credit, or refund.

Teacher-training tuition is refundable through the day before the published program start date, less any nonrefundable deposit clearly disclosed before purchase. On or after the start date, tuition is nonrefundable and the participant remains responsible for the agreed tuition. If Uprise cancels a teacher training or does not meet the stated minimum enrollment, the participant may choose a transfer to a future Uprise training or a refund of amounts paid for the canceled training.

12. Retail returns

A retail item may be returned to the original payment method within 7 calendar days after purchase if it is unworn, unused, unwashed, in resalable condition, and accompanied by proof of purchase. Opened personal-care or hygiene items, gift cards, and items clearly marked final sale are not returnable except for defect or as required by law. A defective item may be repaired, replaced, credited, or refunded as appropriate.

13. Discounts and promotions

Eligibility, amount, duration, exclusions, and verification requirements for a discount or promotion will be disclosed with the offer. Unless expressly stated, discounts cannot be combined, applied retroactively, redeemed for cash, or applied to special events, workshops, trainings, or merchandise. Uprise may verify eligibility and end a promotion prospectively.

14. Nonwaivable rights and contact

These policies do not waive any right or remedy that cannot legally be waived. If applicable law gives a consumer a more favorable cancellation, refund, or notice right, that law controls.
